Creating a Culture of Openness and Transparency at Board Meetings

Board meetings are a great way to generate energy and allow members with different backgrounds to share creative ideas. However, keeping up the momentum is more than just getting people in the same room together.

Board members must feel they are able to trust each other enough to be honest and to ask difficult questions. This can only happen if there is an environment that encourages openness and transparency. This is the reason it’s so important to create an environment for board members that values the importance of board meetings, and tries to make them as productive as they can.

The agenda of the board should clearly state what directors will need to accomplish to reach their objectives. The agenda should be flexible enough to accommodate unexpected events or the need to change the order of items. The board should also be given the chance to discuss any new business items.

When it comes time to discuss new business ideas, a great board chair should avoid presenting reports and instead concentrate on encouraging discussion with the entire group. This will not only help save time, but will also help to create a positive atmosphere which the board can ask tough questions of the management.

Another way to stimulate discussion is to include a parking lot on the agenda. This will allow for small, random topics to be discussed, but won’t distract from the more important issues in the room. Sidetracked discussions can take up valuable time at meetings and stop the board from taking actions.
